2. Educational Purpose and Disclosures

Northgate Learning Studio provides online courses, webinars, and practical educational programs. All content on the Site and any materials described or delivered through our programs are provided for educational purposes only. They are designed to support structured learning, practice routines, and skill development, but they do not constitute professional, financial, legal, or career advice.

3. Service Description and Availability

The Site provides information about our programs, schedules, formats, and a way to contact us to request recommendations or availability. We may update, modify, or discontinue parts of the Site at any time, including program descriptions, schedules, and pricing information shown on the Site, without prior notice.

We aim to keep information accurate and current, but we do not guarantee that every detail on the Site is complete or error-free at all times. If something appears inconsistent, contact us and we will clarify in writing.

9. Limitation of Liability

To the maximum extent permitted by law, Northgate Learning Studio GmbH will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, business interruption, or reputational harm, arising out of or related to your use of (or inability to use) the Site.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Site will not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) €100.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), or for injury to life, body, or health.

10. Indemnification

You agree to indemnify and hold harmless Northgate Learning Studio GmbH from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to (a) your misuse of the Site, (b) your violation of these Terms, or (c) your submission of unlawful or infringing content through the Site.

11. Force Majeure

We are not liable for any delay or failure to perform resulting from events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, pandemics, government actions, internet or telecommunications outages, cyberattacks, and third-party hosting or cloud failures.

12. International Use

The Site is operated from Germany. We make no representation that the Site is appropriate or available for use in every jurisdiction. You are responsible for complying with local laws that apply to your access and use, including any restrictions related to sanctioned territories and export controls.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules. If you are a consumer in the European Union, you may also benefit from mandatory consumer protection provisions of the law of your country of residence.

To the extent permitted by law, the courts of Berlin, Germany will have jurisdiction over disputes arising out of or relating to these Terms or the Site.

14. Dispute Resolution

15. Termination

We may suspend or terminate access to the Site (including blocking specific IP addresses or traffic sources) if we reasonably believe that you have violated these Terms or that your use creates a security risk or operational burden. Sections related to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision will be replaced by a valid provision that most closely reflects the original intent.

17. Entire Agreement

These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and Northgate Learning Studio GmbH regarding your use of the Site and supersede any prior agreements or communications on the subject.

18. Assignment

We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. You may not assign these Terms without our prior written consent.

19. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later. Any waiver must be in writing and signed by an authorized representative of Northgate Learning Studio GmbH.

20. Modifications to These Terms

We may update these Terms from time to time. Changes become effective 14 days after being posted on this page, unless a change is required by law or is administrative in nature (for example, clarifications). The “Last Updated” date above indicates the most recent revision.

21. Electronic Communications

You agree that communications we provide to you electronically (including email responses and notices posted on the Site) satisfy any legal requirement that such communications be in writing. Electronic signatures and records are binding to the extent permitted by applicable law, including eIDAS where relevant.
